01Agreement to these Terms
These Terms of Service (“Terms”) are a binding agreement between you and PolyEmbed (“PolyEmbed,” “we,” “us”). They govern your use of polyembed.io, the embeddable PolyEmbed widget wherever it appears, the reader portfolio, the publisher dashboard, our APIs and the WordPress plugin (together, the “Services”).
By accessing the Services, connecting a wallet, creating an account, or clicking a button that references these Terms, you agree to them and to our Privacy Policy. If you use the Services for a company, you confirm you have authority to bind it and “you” includes that company. If you do not agree, do not use the Services.
Section 15 contains a binding arbitration agreement and class-action waiver that affect how disputes are resolved. Please read it.
02What PolyEmbed is, and is not
PolyEmbed is a software interface. It matches articles on third-party publisher websites with publicly listed prediction markets operated by Polymarket, shows live prices, and lets eligible readers build, sign and submit orders to Polymarket from their own wallet. PolyEmbed participates in Polymarket's builder program and may receive a fee from Polymarket for orders routed through the Services, some of which we share with publishers.
PolyEmbed is not, and does not act as:
- an exchange, designated contract market, swap execution facility, broker, futures commission merchant or introducing broker;
- an investment, trading, tax or legal adviser, and nothing in the Services is a recommendation to buy or sell anything;
- a custodian, money transmitter or bank. We never take possession or control of your funds, private keys or positions;
- the operator of any market, the source of market outcomes, or the party that resolves or settles markets.
Polymarket is an independent third party. We are not affiliated with, endorsed by or acting as an agent of Polymarket, and “Polymarket” is a trademark of its owner.
03Eligibility and restricted jurisdictions
To use the Services you must be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract.
Trading features
Polymarket's Terms of Use prohibit trading by persons and entities who reside in, are located in, are incorporated in or have their principal place of business in the United States or any other jurisdiction on Polymarket's restricted list, which currently also includes, among others, the United Kingdom, France, Germany, Italy, Belgium, the Netherlands, Poland, Australia, Singapore, Taiwan, Thailand, Russia, the Canadian provinces of Ontario, Quebec, Alberta and British Columbia, and comprehensively sanctioned territories. The PolyEmbed trading features are subject to the same restrictions.
By connecting a wallet or placing an order through the Services, you represent and warrant that:
- you are not a U.S. person and are not located in the United States or any other restricted jurisdiction;
- you are not on, owned or controlled by anyone on, any sanctions list administered by the U.S. Treasury's Office of Foreign Assets Control (OFAC), the U.S. Department of Commerce, the United Nations, the European Union or the United Kingdom;
- you are not using a VPN, proxy, or any other method to hide your location or circumvent geographic restrictions; and
- your use complies with all laws that apply to you, which you are responsible for knowing.
We check eligibility in your browser using Polymarket's own location check, and if it reports a restriction or cannot be completed, the widget shows market odds only. These checks are a safeguard, not a guarantee, and they do not shift your responsibility for complying with these Terms and the law. We may block access, cancel pending actions in the interface or end your access at any time if we believe you are ineligible.
Viewing odds and reading the Services is informational and may be available where trading is not. Displaying a market is not an offer or solicitation to trade where doing so would be unlawful.
04Polymarket's terms apply to every trade
Orders you submit through the Services are executed on Polymarket's order book and settled through smart contracts that we do not control. Your trading, deposits, withdrawals, positions and market resolutions are governed by the Polymarket Terms of Use and Polymarket's market rules, which you must read and accept before trading. If those terms conflict with these Terms on a matter of trading, Polymarket's terms control as between you and Polymarket.
We do not guarantee that any order will be accepted, filled, filled at the displayed price, or filled at all. Prices shown in the widget may be delayed, and the price you pay may differ from the price you saw. We are not responsible for how a market is defined, resolved, disputed, paused or cancelled.
05Wallets, keys and funds
You use the Services with a self-custodied wallet you control: either a browser wallet you connect, or an embedded wallet provided by Privy if you choose “Continue with email.” Your wallet controls a Polymarket deposit wallet. You authorize every transaction by signing it.
- You alone are responsible for your wallet, recovery phrase, device and email account. We cannot recover lost keys or reverse transactions.
- Blockchain transactions are public and irreversible once confirmed.
- Gasless transactions are submitted through Polymarket's relayer. Wallet providers, relayers, bridges and blockchains are third-party services that may fail, be delayed or change without notice.
- You are responsible for any taxes on your trading and for keeping your own records.
06Risks you accept
Prediction market prices can move quickly, liquidity can disappear, and positions can lose all of their value. You should only trade what you can afford to lose. You also accept the risks of smart contract bugs, stablecoin de-pegging, network congestion, forks, regulatory changes that make markets unavailable, and incorrect or disputed market resolution. Read our Trading Risk Disclosure.
Content around a widget is written by the publisher, not by us. Odds are market prices, not forecasts by PolyEmbed or the publisher, and nothing in the Services is investment advice or an endorsement of any outcome.
07Publisher accounts
If you register as a publisher, you also agree that:
- the information you give us is accurate, and you will keep your login credentials secure and tell us about any unauthorized use;
- you own or control every domain you verify and every page that embeds the widget;
- you will follow the Publisher Terms, the Prohibited Claims Policy and the Revenue Share and Payout Policy, which form part of these Terms;
- you will not promote trading to audiences in the United States or other restricted jurisdictions, present trades as guaranteed or risk-free, or alter, hide or obscure the widget's risk text, eligibility checks or links to these Terms;
- your own privacy notice will tell your visitors that your pages embed third-party content from PolyEmbed and Polymarket, and you will obtain any consent your local law requires for that embed; and
- revenue share is paid only on reconciled builder fees we actually receive, may be withheld for suspected fraud, wash trading, self-dealing or a breach of these Terms, and requires accurate payment and tax information (such as an IRS Form W-9 or W-8). Each party is responsible for its own taxes.
08Acceptable use
You will not, and will not help anyone else to:
- break any law, including securities, commodities, gaming, sanctions, anti-money-laundering, consumer protection or privacy laws;
- manipulate a market, wash trade, spoof, front-run, or inflate impressions, clicks or volume;
- circumvent geographic restrictions, rate limits, eligibility checks or any security feature;
- scrape, copy or resell Polymarket or PolyEmbed data in violation of Polymarket's terms or ours;
- probe, scan, overload or interfere with the Services, or introduce malware;
- reverse engineer the Services except where the law expressly allows it;
- impersonate anyone, or use the Services to harass, defraud or mislead anyone.
09Intellectual property and feedback
We and our licensors own the Services, including the software, design, PolyEmbed name and logos. Subject to these Terms we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose, and publishers a license to embed the widget on their verified domains. Market data is provided by Polymarket and remains subject to its terms. If you send us feedback, we may use it without obligation to you.
If you believe content on the Services infringes your copyright, email [email protected] with the information required by the Digital Millennium Copyright Act, 17 U.S.C. § 512(c)(3). We will respond to valid notices and may terminate repeat infringers.
10Third-party services and links
The Services rely on and link to services we do not control, including Polymarket, Privy, wallet providers, blockchains, Google, Firebase and publisher websites. Their own terms and privacy policies apply, and we are not responsible for their content, availability, security or conduct.
11Changes, suspension and termination
We may change, suspend or discontinue any part of the Services, including turning trading off in any region, at any time. We may suspend or end your access if we reasonably believe you have breached these Terms, created risk or legal exposure for us, or if the law or Polymarket requires it. Because the Services are non-custodial, ending your access never affects your ability to reach your funds directly on Polymarket or on-chain.
We may update these Terms. If a change is material we will give reasonable notice, such as by email to publishers or a notice on the site, before it takes effect. Continuing to use the Services after the effective date means you accept the update. Changes to Section 15 will not apply to a dispute we already knew about.
12Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, PolyEmbed disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Services, market data, prices or eligibility checks will be accurate, timely, uninterrupted, secure or error-free. We make no warranty about any market, outcome, Polymarket, any wallet or any blockchain. Some jurisdictions do not allow these exclusions, so some may not apply to you.
13Limitation of liability
To the fullest extent permitted by law, PolyEmbed and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, trading losses, lost data, lost digital assets or business interruption, arising out of or relating to the Services, even if advised of the possibility. Our total liability for all claims relating to the Services is limited to the greater of (a) the amounts we received from you or attributable to your activity in the twelve months before the claim arose, and (b) $100 USD.
These limits apply to every theory of liability and are an essential part of the bargain between us. They do not limit liability that cannot be limited by law, such as for fraud or gross negligence where that rule applies.
14Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless PolyEmbed and its personnel from claims, losses and costs (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of law or third-party rights, your trading, or, for publishers, your content and pages.
15Dispute resolution, arbitration and class-action waiver
Informal resolution first. Before starting a claim, send a written description of the dispute and the relief you want to [email protected]. We will try to resolve it within 60 days.
Binding arbitration. Except as listed below, any dispute arising out of or relating to these Terms or the Services will be resolved by final, binding individual arbitration under the Federal Arbitration Act, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules for publisher disputes). The arbitrator decides all questions of arbitrability except as stated in the class-action waiver. Hearings take place by video or in the county where you live, and fees follow the AAA rules; for consumer claims we will pay any filing fee above what a court would charge you.
Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for misuse of intellectual property.
Class-action and jury waiver: you and PolyEmbed may bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. You and PolyEmbed each waive any right to a jury trial. If this waiver is found unenforceable for a claim, that claim must be decided in court, not in arbitration.
Mass filings. If 25 or more similar demands are filed by or with the help of the same counsel, they will be administered in batches under the AAA's mass arbitration procedures.
Opt out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms, with your name, wallet address or account email and a clear statement that you opt out. Opting out does not affect any other part of these Terms.
16Governing law and general terms
These Terms are governed by the Federal Arbitration Act and the laws of the State of Delaware, without regard to conflict-of-laws rules. Subject to Section 15, the state and federal courts located in Delaware have exclusive jurisdiction, and you consent to venue there.
These Terms, with the policies they reference, are the entire agreement between us about the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. You agree to receive notices electronically, which satisfy any requirement that communications be in writing.
California residents: under California Civil Code § 1789.3 you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
